The investment groups TPG Capital and Canada Pension Plan Investment Board (CPP) have taken over the company IMS Health for 5.2 billion dollars. With this sale it will no longer be listed on the stock exchange. Shareholders will receive 22 dollars per share. IMS is the market leader for information services in the pharmaceutical- and health market. The company has subsidiaries in 100 countries and as the world-wide leading data supplier in the health market, it made 2.3 billion dollars turnover in 2008.

Only a few days after a public decision resulted in a "no" concerning the takeover of the municipal clinics Kreiskliniken Rottal-Inn, the Rhön-Klinikum AG has surprisingly published its majority stake in the Medigreif-Betriebsgesellschaft for hospitals and integrative health services. By taking over 94 percent of the shares on January 1st 2010, the private clinic group extended its operational care by five acute in-patient facilities and two medical centres in Saxony-Anhalt and Mecklenburg-West Pomerania.

The finance investor Advent International enlarges its portfolio in the German health market and has taken over the Median group, a large private operator of rehabilitation clinics in Germany. Advent takes over Median in co-operation with the London-based real estate investor Marcol. Median which is located in Berlin, has been founded in 1972 and offers approx. 6,000 beds in 27 clinics in 19 locations. Advent International is a world-wide leading private equity company and has made numerous other investments in the health sector, such as Casa Reha, one of the largest German nursing home operators and Craegmoor Healthcare, the largest private specialist hospital for adults and youths in Britain. The Median purchase is the largest private equity transaction in Germany in 2009 so far.

Sunrise Senior Living will sell 21 own "senior living communities" for 204 million US-dollars to its competitor Brookdale Senior Living Inc. The stock exchange reacted with increasing market prices for both companies. It is expected that this sale will provide the company with enough money in order to repay the financing banks and therefore accelerating the restructuring measures.

Deboka plans nursery home funds. The Düsseldorf-based issuing house Deutsche Grund und Boden Kapital plans to enter the real estate market for nursery homes: in future, the initiator of the WGF Westfälische Grundbesitz und Finanzverwaltung will co-operate with Avia Rent Capital Management from Luxembourg who are specialised on nursing homes and announces its first nursery home real estate fund. Deboka and Avia plan to combine their know-how and offer an investment option which is supposed to be introduced to the market within the next months. The nursery home fund is planned to reach a volume of approx. € 20 million and invest in objects in the old West German states.

Within the next years, the world-wide pharmaceutical market will be growing stronger than expected. The market service IMS Health forecasts an increase of 4 to 6 % up to 825 billion dollars. In four years, the global pharmaceutical market could therefore reach a volume of 975 billion dollars. The institute reckons that especially the increased demand for drugs in the world-wide largest market for pharmaceuticals in the United States is the main reason as well as a broader access to drugs in the developing countries. As far as China is concerned, IMS Health forecasts an annual increase by 20 percent until 2013. For the German market, IMS Health forecasts an annual increase by 3.2 percent until 2013, although the experts only expect a 2.3 percent rise in 2010. In Germany, the need for drugs increases due to the demographic change, but it still does not reach the demand of the new market. Moreover, the growing gap between revenues and spending in the Compulsory Health Insurance will most likely show.

Catella Real Estate AG starts of as fund managers with their first open real estate fund which focuses on health market real estate as a public fund. The first three start investments (53 million Euro) are already confirmed.

The head of the German Federal Employment Office, Mr Frank-Jürgen Wiese, announced an "ongoing high demand for specialised staff in the health- and social care market" when publishing the monthly report for August 2009. The need for nursery staff, social workers and pre-school teachers has risen by 22,000 jobs last year (+41 Prozent).

The IMMAC Pflegezentren Austria IV Renditefonds (nursery yield fund) can now be subscribed. The fourth IMMAC fund this year and the third Austria-fund invests into a nursery home near Vienna. The investment volume of the fund without capital surplus is approx. € 26 million. Nearly € 10 million are financed with own funds. The bought object consists of three homes in the municipality Purkersdorf. The nursery facility has altogether 178 beds in single and double rooms. The Hamburg-based initiator forecasts yields of altogether 193.38 percent in 25 years. The tenancy is held by the "Rosmarin" Seniorenbetreuungsgesellschaft, a company of the KräuterGarten group. The Styrian KräuterGarten group has been founded in 1997 and meanwhile operated seven nursery homes with a total of 634 beds.

The private equity company Advent International and the real estate investor Marcol from London have taken over the rehabilitation hospital operator Median. The two founders, Dr. Erich Marx and Axel Steinwarz have sold their shares. The purchasing price is not known. The antitrust authorisation of this transaction is still ongoing. According to its own information, Median is the largest private operator of rehabilitation hospitals in Germany. Apart from that, the group operates two other field of business: MEDIAN Acute hospitals and MEDIAN trainings. The group is situated in Berlin and has 27 facilities in 19 locations and more than 6,000 beds.

The nursery home "Evangelisches Johannesstift Altenhilfe gGmbH" takes over 90 percent of the company shares of the Caritas Seniorendienste Hannover gGmbH (CSH) retrocactively on 1. August 2009. In connection with this acquisition comes a decrease in wages of up to 13 percent according to a rescue plan. Therefore, the employees significantly contribute to maintaining their workplaces and restructuring the CSH. The acquisition now offers the right preconditions to carry out the planned investments by the Johannesstift in the CSH real estate worth 8.3 million euros.

The mail order company Otto co-operates with the mail order pharmacy Mycare. After elaborate market analyses, Otto is said to have opted for a partner whose service and quality is very convincing. Otto-customers receive a Mycare catalogue together with the Otto catalogue or after ordering from Otto. Moreover, the mail order pharmacy from Wittenberg is entitled to publish advertisements for Otto co-operation partners on its web site. In return, Mycare offers purchasing vouchers worth 5 euros to Otto customers.

The private hospital group Rhön-Klinikum AG has placed all recently issued shares and therefore enlarged its capital by approx. 460 million euros. After that, 99.9 percent of the new shares are subscribed by purchasing right owners. The remaining shares are sold on a private basis on the international market. With the money from the capital increase, Rhön plans to take over further public hospitals. From 2010 on, the company expects a new privatisation wave. By the basic capital increase, the basic capital has risen by 86.38 million to 345.58 million euros. Altogether, approx. 34.5 million shares were issued.

The Asklepios Kliniken GmbH has started to establish an interdisciplinary health centre in Hamburg aufzubauen. According to the company PropertyOne Gmbh from Frankfurt which is specialised on commercial property, the Asklepios MVZ (Medical Centre) Nord GmbH, a subsidiary of the private clinic group, has rented a first location with 1,300 square metre floor space at the Herzog-Karl-Friedrich-Platz. A pre-contract also ensures that Asklepios is entitled to rent all further free areas so that the group will gradually become the only tenant of this office- and commercial building which offers a total area of approx. 4,000 square metres.

Within a short time, the issuing house ILG from Munich will bring a second nursery home funds on the market by building a new nursery home in Traunstein/Upper Bavaria. The first fund has been placed within five weeks and invested into a nursery home in Geretsried/Upper Bavaria which has been rented out to the nursery home operator Compassio for 20 years.

The 65 in-patient nursery home institutions of the organisation Johanniter are now combined under one umbrella organisation: the Johanniter Seniorenhäuser GmbH. From this extensive measure, the participating parties expect significant synergy effects and an additional growth impulse by an improved market position.

The Berlin-based pharmacy co-operation Gesine plans to enter the market with an own wholesale trade. Stakeholders who chose the company as their main supplier, can become pharmacy managers. According to Gesine-chairman Susanne Lorra, already 80 members have signed such a declaration of intent. The official foundation is scheduled for early September and after a test run, the project is expected to run under full load already next year. With an estimated turnover of more than 150 million euros, the Gesine wholesale trade is supposed to become as successful as some private wholesalers. Nearly 200 pharmacies are supposed to participate from the scratch. The main areas are the New Federal States (Eastern Germany) and Berlin.

74.9 percent of the Regio-Klinik gGmbH shares are supposed to go to the private Sana Group. The fourth largest private hospital group Sana confirms the existing care concepts of the Regio-Kliniken and guarantees to maintain the locations Wedel, Pinneberg and Elmshorn for the next 20 years. From the altogether 62.5 million euros, 25 million euros are supposed to flow directly into the clinic network, 35 million will be invested into the locations within the next ten years. The county Pinneberg will receive 2.5 million euros for the sale and is freed from its security obligations worth 25 million euros.

General Electric (GE) and the Asklepios Kliniken Group co-operate in order to establish a project for more sustainability in the German Health market. Under the name "Green Hospital", the restructuring and new development of the Asklepios Klinik Hamburg-Harburg will be planned and designed under entirely ecologic aspects, the first such pilot project in Europe. Until 2013, the project should be finished. Asklepios chairman Dr. Tobias Kaltenbach plans to increase the efficiency of the planned own energy production by 30 percent and at the same time reduce the energy consumption by 30 percent and extend the proportion of renewable energy sources in the energy mix up to 30 percent.

The Australian-British software company Isoft plans to make considerable investments in the German health market in the next few years and become one of the leading hospital information companies in Germany. According to a survey which was performed in German hospitals in 2008, the Australian company came as 4th after its competitors Agfa, Siemens and SAP as far as hospital information systems are concerned. At the moment, Isoft equips the Klinikum Saarbrücken with an application called Clinic Centre. This software combines all patient-specific information in an individual patient file and this information is then used for the entire control of necessary procedures. With the new software solutions, patients do not have to carry their files from doctor to doctor and moreover, the software ensures that the CD with all hospital data can be used by the following treatment by the GP.

The Rhön Klinikum AG plans to invest nearly one billion euros in buying and re-structuring communal clinics, as chairman Wolfgang Pföhler has recently stated in an interview. The result should reflect in an increase of jobs, mainly in the medical section. Work processes should be optimised while suitable constructional structures are created. Moreover, Rhön plans to establish Medical Centres in scarcely populated areas in co-operation with GPs. Also, the chairman, Mr. Pföhler said he preferred rationalisation to rationing medical services. This could be achieved by using saved potentials. But this can often only be achieved by private health service providers, as those compared to public providers, are able to make investments over the capital market.

According to a report by the Admed GmbH, the Institute for Health Care Business GmbH (HCB) and the Rheinisch-Westfälisches Institut für Wirtschaftsforschung (RWI), the way how nursery services will be applied, will change. Already a decrease of care rendered by family members could be observed. This trend will further increase due to the demographic change and other sociologic developments. Should the nursery figures remain constant, there is still a 36% increase of in-patient nursery care until 2020. This number could increase up to 57% until 2030. The percentage of people who need nursery care in private institutions is rising. The reason could be the comparatively low price. The authors presume that the capacity will further reduce up till 2010. From 2013 onwards, there will be more need for new places. Until 2020 they expect an excess need of 155,000 places, until 2030 of 312,000 places.

The Vatas Holding has entirely sold its shares of the nursery home operator Curanum . Their voting shares have already been zero percent on October 23rd 2008. Already at the beginning of the year, Vatas Holding, the Berlin-based equity company owned by Lars Windhorst has filed for insolvency.

The biggest communal hospital group enters a joint venture with Gegenbauer Health Care Services. The Vivantes Netzwerk für Gesundheit GmbH has allocated extensive services to Gegenbauer Health Care Services GmbH on June 1st 2009. Gegenbauer will be responsible for the management, cleaning measures, the provision of beds and special services in twelve nursing homes.

The European Court of Justice in Luxembourg ruled that the German and Italian ban on outside ownership is in accordance with EU law. Therefore, trade chains are not allowed. Pharmacists are only allowed to own and operate (at the most four) pharmacies. But each member state can decide whether they allow pharmacy chains to operate as franchise systems or not. Therefore, mail order pharmacies such as DocMorris or so-called pick-up stations like the drugstore chain dm which co-operates with the Europa Apotheek in Venlo/Netherlands are excluded from the new rule. The Court of justice claims that limiting the freedom of establishment is justified by health protection objectives and therefore there is no infringement against Community Law. Although this is a disadvantage for non-pharmacists and this ban limits the freedom of establishment especially as far as free capital flow is concerned, this ban can be justified by a secure and high-quality supply of pharmaceuticals for the population.

According to a spokesman, the drugstore chain dm did not intend to enter the pharmacy market. Instead, dm plans to intensify its co-operation with the Europa Apotheek Venlo. Until the end of the year, the pick-up stations by the Dutch mail-order pharmacy are supposed to be installed with nearly all dm subsidiaries in Germany. dm does not fear any political interference on this concept. At the moment, there is no reason to make any amendments, as the legal situation is clear.

The first ILG nursing home fund with the serial ILG funds number 34 will enter the market within a short time - a stake in a newly planned nursing home in Geretsried/Upper Bavaria. With this measure, the Munich-based ILG Fonds GmbH invests in a new product line apart from its traditional segment "strategic business properties".

After DHL and the Bertelsmann subsidiary, now also the logistics service provider UPS enters the pharmaceutical and biotech market. It just opened a logistics centre for medication and medical products in the Dutch city Roermond right to the German border. UPS has delivered 3.9 billion parcels in 2008 and achieved a turnover worth 51.5 billion US dollars. For years, UPS has already delivered health products. In the United States, UPS has been acting as an intermediate deliverer and has been supplying retailers, pharmacies or end customers with products for many years. The advantage for the companies is that they are able to outsource their entire logistics branch. Only at the beginning of this year, UPS has taken over two sales centres by the pharmaceutical company Merck. Now, UPS owns 23 subsidiaries which are specialised on and certified for the health sector in the United States.

Health care companies could become an attractive partner for Private Equity companies. This was the result of a study conducted by the consultancy Rödl & Partner which questioned approx. 300 Private Equity companies. More than half of these companies (58 percent) stated that they are planning three to five new investments this year. The consultancy claims that especially companies in the medical and pharmaceutical / biotech industry could profit from this trend.

The Asklepios Kliniken Group has enlarged its stake in the MediClin AG from 10.7 to approx. 20.2 percent. No details concerning the purchasing price were published. With this step, Asklepios plans to confirm its position in the German hospital market. Apart from the Rhön-Klinkum and the Helios Kliniken which belong to the Fresenius Health Group, Asklepios is one of the three largest private hospital operators in Germany. The company sees its stake in Mediclin as a financial venture. In December 2008, Asklepios started to invest in MediClin and has offered its competitor its co-operation. MediClin´s largest stakeholder is the insurance group ERGO which holds approx. 35 percent of the company.

TLG Immobilien, Niederlassung Süd (TLG Real Estate, Southern subsidiary) will invest approx. 10 million euros in its seventh nursery home for elderly people. The East German company will build a four-storey home with 130 beds in Bautzen. The nursery home will then be operated by the Vitanas GmbH & Co. KGaA. The nursing homes belonging to the Southern subsidiary so far include approx 920 objects with about 15,200 apartments and fixed assets worth 810 million euros. So far, the Southern subsidiary administers six nursery homes which are being operated by following institutions: Diakonie, Kursana, Marseille Kliniken and hesena. The portfolio includes 148 units for assisted accommodation and 35 flats for handicapped people in Dresden.

Meanwhile, the Rhön-Klinikum AG owns 20 medical centres with 78 CHI physicians. Due to a heavy resistance of GPs, the out-patient care can not be provided by clinic groups. The Rhön Group therefore offers GPs a co-operation. Within the next years, the Group plans to increase the number of its clinics (momentarily 48) and extend the number of CHI physicians from 78 to 200. Until clinic mergers boom again, Rhön plans a targeted acquisition of CHI physicians. In 2008, the Group achieved an overall turnover worth 2.13 billion euros.

The discount supermarkets Netto and Plus which belong to the Edeka-Group now co-operate with the Czech mail-order pharmacy Volksversand-Apotheke located in the Northern Czech city of Liberec. Advertisements with the motto: "Pharmacy prices? Not with us!" are now being distributed by the German grocery stores. They claim to provide pharmacy products cheaper by up to 55 percent. Volksversand belongs to the electronic retailer Herlinghaus & Weil based in Hagen. One of its two chairmen used to work as the logistics manager for the Dutch mail-order pharmacy DocMorris. In 2007, they achieved a net turnover of nearly 1.6 million euros.

GlaxoSmithKline takes over the pharmaceutical company Stiefel who mainly focuses on skin products for 3.6 billion dollars. This once again confirms the world-wide acquisition series in the pharmaceutical industry. In the last months, the industry giants Merck & Co, Pfizer and Roche have already invested in acquisitions of double-digit billions. The pharmaceutical producers are less prone to the economic cycle and can therefore tackle the world-wide economic crisis in a much better than other industries. After taking over Stiefel with a turnover of approx. 1.5 billion dollars, the British Group GlaxoSmithKline will control eight percent of all dermatological prescription drugs world-wide - about three times more than so far.

The Siemens plant for medical technology in the Upper Franconian city of Forchheim has won the award for the best plant in Germany and Europe. According to the judges, the plant received the best marks for strategy, efficiency, value creation, service, product- and process development. "In the winning plant, each part matches the next" said Insead Professor and jury member Christop Loch with praise. "The management follows a clear strategy, grabs every new business idea by the neck and perfectly understands how to motivate the entire staff for the common cause."

On May 19th, the European Court of Justice will decide whether outside ownership of pharmacies is permitted or not. Thereby, it has to find out whether this would be an unjustified limitation in the basic freedom of Community Law or not. On December 16th 2008, the General Attorney Yves Bot has issued a bill containing 93 reasons why an outside ownership can be permitted without any limitations. According to Bot, the German and Italian regulations may limit the freedom of establishment. But this could be justified with Community Law as it contained no discriminating measures and helped to protect a healthy population.

According to latest news, the Kommunale Kliniken Ostallgäu-Kaufbeuren (KU) negotiate a management contract with Sana. Until the end of April, Sana should hand in a rough concept for the five KU houses. The administrative council has the opinion that it is entitled to nominate the Board Members. Moreover, the concept will stipulate how the tasks are divided between management and administrative council. According to the administrative council, it is their duty to appoint head doctors or close down departments. But it is not clear if Sana sees it the same way. It has not been discussed if Sana AG which owns many communal clinics will also participate in the KU.

The health expenses continue to rise. Altogether, 252.8 billion euros were spent on health services and health products in Germany in 2007. This is 7.8 billion euros or 3.2 percent more than in 2007. These figures were published by the Federal Statistical Office in Wiesbaden yesterday. The compulsory health insurances spent 145.5 billion euros, (+4.0 %). The private health insurances spent 23.5 billion euros (+4.3 %) and private households 34. 1 billion euros (+ 1,8 %). Nearly half of the expenses for health services and health products were spent for out-patient treatments. Medical practises (38.4 billion euros) and pharmacies (36.4 billion euros) were responsible for the major share of these costs.

Medical technology companies defy the economical and financial crisis and will also grow this year, introduce new products and procedures and create jobs. According to the "Branchenreport Medizintechnologie" of the Bundesverband Medizintechnologie, BV Med (Federal Association for Medical Technology), 62 percent of the questioned MedTech companies stated that their turnover will rise in 2009. 70 percent of the MedTech companies will introduce new products or procedures this year. 50 percent of these will be implemented in the in-patient sector. The report is based on 103 personal interviews of board members and chairmen of Med-Tech companies.

The Israeli world market leader for generic drugs, Teva, will close its last regional gap. According to Teva Germany chairman, Sven Dethlefs, the market share at the German generics market should rise from currently 1 percent to five percent until 2012. Teva plans to accomplish this step without any acquisitions in 2009. Apart from generics drugs, Teva also offers original drugs by the Radebeul-based company AWD.

GE and Intel have big plans in the medical technology market. The largest chip manufacturer in the world and the leading medical technology company plan to invest 250 million dollars in the development of new instruments in the next five years. This will mainly be instruments for the surveillance of illnesses or self-control appliances for senior citizens. Due its co-operation with Intel, GE will have a technological advantage compared to its competitors. On the other hand, Intel will get a sales channel in a sector which is strategically essential for semiconductor manufacturers. At the same time, GE puts pressure on its European competitors, mainly Siemens in Erlangen and Philips in the Netherlands.

The Belgian pharmaceutical and chemical company Solvay obviously plans to sell its pharmaceutical business. According to media reports, possible buyers are either Sanofi-Aventis, Bayer, Merck, the American Group Abbott Laboratories and the British-Swedish company Astra Zeneca. In 2008, 28 percent of the overall Solvay Group turnover was generated with pharmaceuticals. At the moment, acquisitions are quite usual in the pharmaceutical market. Only a few weeks ago, Pfizer has taken over Wyeth and Merck & Co bought Schering-Plough.

The Danish Euro Ejendomme A/S, Copenhagen, has issued the "Care Fund K/S" which offers sustainable investment in nursery- and health estates. The closed fund with an overall volume of 300 million euros and a planned equity capital worth 100 million euros aims at institutional capital investors in Scandinavia.

The special fund Health Care I which was issued in autumn 2005 by the DB Real Estate (now Rreef Investment) has meanwhile invested in nine nursery homes. Therefore, the investment volume has exceeded 100 million euros - and is supposed to become nearly three times larger.

By taking over the lung department of Nektar, a US-American company, Novartis plans to extend its market for respiratory drugs. Novartis states that the 115 million dollar takeover agreement is already signed. Nektars know-how should enhance drug sales for chronically obtrusive lung diseases, asthma and cystic fibrosis. Nektar already co-operates with Novartis while developing a Tobramycin inhalation powder.

The Vienna-based Biotech company Affiris receives 430 million euros plus enormously large royalties from the British pharmaceutical giant GlaxoSmithKline. Affiris therefore grants Glaxo the exclusive rights for its Alzheimer-vaccine which has been developed in Vienna. As soon as the drug is ready for market, Affiris which was only founded in 2003 will also receive a share of the turnovers. Both Affiris and the Belgian GSKbio will co-operate in development and project management.

The British pharmaceutical company Alliance Boots will take over the majority share of the German wholesaler Megapharm. Approx. 90 percent of the shares are about to be sold to Europes third biggest pharmaceutical retailer. Up till now, Alliance Boots is not yet represented in Germany so far. It only holds Anzag shares and made investments in some smaller firms. Megapharm has specialized in marketing oncologic products and according to own reports, supplies approx. 400 pharmacies. The companys achieved a turnover of nearly 290 million euros in 2007.

The international structural engineering company "Tragwerksplaner und Projektsteuerer" is entering the care sector. The newly established "Personal Care Fund" worth 50 million euros will mainly invest in its first nursing home in Berlin and already existing property in Southern Germany. Negotiations with interested parties are ongoing.

The American Biotech company Imclone Systems Inc. has agreed to a takeover bid by the pharmaceutical company Eli Lilly & Co. worth approx. 6.5 billion dollars. Its competitor Bristol-Myers Squibb which already owns 17 percent of the Imclone shares has therefore been outdone. So far, Imclone has been selling the cancer treatment Erbitux together with Bristol-Myers in the United States. On October 1st, Dertour has taken over 75.1 percent of Dr. Holiday AG. The company offers preventive travels for most larger health insurances such as "TK-Aktivwochen", "Weg & Relax-Programm" of the Taunus-BKK, etc. Normally, health insurances refund approx. 160 euros per participant. The company Dr. Holiday AG is the market leader for health travels. According to the Dertour manager Frese, health tourism has the largest growing potential in the travel industry. Dertours strategic target is taking over the market leadership in the health travel sector. This would help opening up new markets and establishing new products.

The Sodexo group, the worlds largest supplier of nursing products and nursing services for industrial enterprises and administrations is the new majority owner of Zehnacker-Group. Sodexo was founded in France and the Zehnacker-Group is a family business with a 75-year tradition. But, the antitrust agency still has to decide on this takeover. The management board of the Zehnacker-group is willing to continue its managerial tasks and plans to extend the range of articles for a national and international clientele. Zehnacker employs more than 10,000 employees and achieved a turnover of approx. 250 million euros in 2007.

According to a new SPECTARIS-study (from April 2008), patients are increasingly willing to pay an additional contribution for service and quality. Approx. two thirds of all patients and disabled people are willing to pay a surplus of 50 percent for standard medical aid products. The Icelandic generic company Actavis has purchased a 90-percent majority share at the Chinese company Zhejiang Chiral Medicine Chemicals Company. There is no information about the price paid. The production company in Hangzhou employs 200 employees and sells various agents to international pharmaceutical manufacturers since 2001. Therefore, Actavis has another location in a low-wage country. The company has other subsidiaries in India and China. Actavis produces generic drugs in 13 countries.

The Basel-based pharmaceutical company Novartis plans to buy Nestles Alcon-shares for 25 billion euros. Alcon is the market leader in ophthalmology and Nestle owns 77 percent at the moment. The scheduled takeover will be carried out in two steps: Novartis will instantly buy 25 percent of Alcon, the producer of contact lenses and surgical equipment and continuously increase this stake until 2011. Novartis obtains a purchase option for the remaining Alcon shares. Already at the end of 2006 and in April 2007, both companies agreed that Nestle will take over the business segments medical nutrition and Gerber infant nutrition from Novartis for 8 billion dollars.

The US-American pharmacy magnate Medco Health Solutions enters the German market by taking over the online pharmacy Europa Apotheek Venlo. The company has already taken over the majority share. According to its own records, Medco Health Solutions is the largest online pharmacy world-wide. In the fiscal year 2007, the company achieved a turnover of approx. 44.5 billion dollars. The co-operation with Medco will help the Dutch-based Europa Apotheek to acquire a leading position in Germany. At the moment, there is already a co-operation with the drugstore chain dm. Europa Apotheek employs approx. 150 employees.

Fresenius-Kabi which is specialized in infusions plans to expand its business. According to a company statement, this section plans to increase its turnover up to 3 billion euros until 2010. In the fiscal year 2007, the Kabi turnover exceeded 2 billion euros for the first time. In the next year, the profit is planned to rise from 12 to 15 percent. So far, Kabi contributes to 18 percent of the overall Fresenius revenue. Its largest segment is the DAX-listed dialysis specialist Fresenius Medical Care which contributes 62 percent of the overall revenue. The rest is divided up between the hospital operator Helios and the hospital service provider Vamed (formerly known as Pro Serve). The overall Fresenius turnover is expected to rise to 15 billion euros by 2010.

The British company Boots changes the name of its Norwegian branch, Alliance Apotek which momentarily has approx. 3,000 subsidiaries. The Boots-subsidiaries will not only sell its own cosmetic and drugstore brands, but also medication. Boots could therefore become a worldwide signet.

The investment branch of General Electrics plans to invest 500 million euros in the German nursing market in only two years. This would triple the companys investment volume in this real estate segment. In-patient nursery homes all over Germany are not scrutinized for purchase. According to media reports, Rainer Thaler, chairman of GE Germany, plans to expand its current properties by 13 nursing homes worth 170 million euros until 2010. Size and year of construction are not as much the decisive factors as a successful nursing home management. GE Real Estate is putting its emphasis on transparency.

The pharmacy co-operation parmapharm opens up a central purchasing network. Pharmapharm has approx. 700 member pharmacies and is therefore one of the largest pharmaceutical co-operations in Germany. Since 2003, the member pharmacies present themselves under the trademark "Gesund ist bunt" (Colourful is healthy). These pharmacies with its approx. 6,500 employees achieved a total annual turnover worth about 1.6 million euros. From now on, the Gesund-ist-bunt-pharmacies can manage their purchasing activities via their headquarters in Bielefeld.

According to a recent study, overall spending on medication in Germany has been rising rapidly in 2007. According to the pollster ACNielsen, the overall turnover has risen by 7.5 percent to 37 billion euros. The growth potential lies with prescription drugs which achieved a plus by 9.1 percent and therefore nearly 30 billion euros. The turnover for OTC products grew more slightly, by 1.5 percent to 7.5 billion euros. The turnover for self-medication drugs was 6.1 million euros. Pharmacies profited more from this trend than drugstores or retail markets. Their overall share was 87 percent.

Apart from its pharmacies and its 146 in-store clinics, the drugstore chain Walgreens plans to set up operational clinics for large companies. According to media reports, Walgreens has therefore taken over the clinic operator I-trax for approx. 278 million US-dollars. Walgreens already owns 300 clinics at companies such as BMW, Toyota or Continental Airlines.

The organizations BMG and BMFSFJ are setting up a quality management guideline for nursing homes. The German Minister for Health, Ms Ulla Schmidt and the German Minister for Families, Ms Ursula von der Leyen plan to bring more transparency into nursing homes. According to the SEC (Security and Exchange Commission), Warren Buffett has bought stakes of two European pharmaceutical companies, GlaxoSmithKline and Sanofi-Aventis. Buffet and his company Berkshire Hathaway owns 1.51 million American Depository Receipts (ADR) by Glaxo with a market value of 76.1 million dollars and 3.6 million ADRs of the French company Sanofi-Aventis worth 162.5 million dollars per December 31st 2007. The overall portfolio has a value of 69 billion dollars.

According to their annual report, the IMMAC Immobilienfonds GmbH has issued four real estate funds with an investment volume of more than 80 million euros in 2007. All funds were placed by the end of the year and only focused on geriatric nursing homes.

The nursing home provider Arbeiterwohlfahrt (AWO) has found a new investor who will reconstruct the former "Hotel am Stadtpark" in Delmenhorst. The AWO plans to turn the hotel into a geriatric nursing home. The Oldenburg-based association Einsiedel & Partner will take part in the restructuring measures. The planned investment volume will range from 3.6 to 4.1 million euros, the construction period will take 15 to 18 months.

The online pharmacy Vitalsana which is owned by the Schlecker Group has set up its business. Originally, the online pharmacy planned to go online already on February 11th, but the drugstore discounter has postponed the opening date due to several legal actions. After the drugstore chain Schlecker, also the supermarkt chain Rewe plans to sell pharmaceutical products. According to meia, Rewe asked McKinsey to check out if an entry in the pharmaceutical market is beneficial. Even when the Schlecker group has to postpone its planned entry due to legal questions, the main tasks remains: marketing OTC medications via the Dutch online pharmacy Vitalsana. The decision is planned in March.

The takeover includes the Hofgarten clinic in Asc haffenburg, the clinc in the Hilden Park, the Mosel-Eifel clinic in Bad Bertrich, the Schlossklinik Abtsee in the Bavarian village Laufen and the Hanse-Klinik in Lübeck, as well as the Swiss-based Venenklinik Kreuzlingen. In 2006, The turnover of the Vena-Group was 32.7 million euros. The new overall Capio Deutschland Klinik GmbH-turnover , a subsidiary of the Swedih Capio Group will then amount to approx. 84.7 million euros.

In February 2008, Kursana takes over two more nursing homes in Vaihingen and therefore now has 87 homes in Germany, Austria, Switzerland and Estonia. Kursana offers a wide range of services: temporal care, care for disabled people and care for elderly people suffering from dementia. Kursana plans to establish five to eight new homes with a total number of 600 to 900 beds and plans 90% single rooms with an own bathroom.

The electronic company Philips takes over the US-American medical technology manufacturer Respironics for 3.6 billion euros. This takeover has an enormous importance for Philips medical technology departement. Respironics is supposed to become the core part of the healthcare business. Respironics has its headquarters in Murrysville (Pennsylvania) and produces medical equipment for the treatment of chronic respiratory difficulties and insomnia. The company employs approx. 5,300 employees. Around 18 to 29 million people are believed to suffer from respiratory illnesses in the United States alone.

The Bosch-Group takes over the majority of the US-software supplier Health Hero Network. The company, based in California, is specialised in telemedicine and sells software for collecting and evaluating patient data. The takeover price is secret. The drugstore chain Rossmann plans to open up further 120 drugstores in Germany and is about to invest 50 million euros in order to achieve this goal. Rossmann has 1260 stores in Germany and therefore is the third largest chain behind Schlecker and dm. According to press releases, the Rossmanns turnover has risen by 14 percent to 3.2 billion euros in 2007. Rossmann has taken over a majority share of its Northern-German competitor Kloppenburg last December.

Fresenius Kabi which belongs to the health company Fresenius, takes over the Italian company Ribbon. The antibiotics manufacturer is one of the leading European producers of the antibiotics cephalosporine and penicilline and owns two modern production plants in Northern Italy. According to Fresenius, thie takeover is another step in the growth strategy of generic drugs and significally strenghtens Fresenius Kabis position in the market. Ribbon employs 130 employees and expects a turnover of 54 million euros for the fical year 2007.

The investment company Audley Capital has invested in the CURANUM AG. Funds by Audley Capital Advisors LLP have invested 10.1 percent in nursing home operators. According to the chairman of Audley Capital, Michael Treichl, the consolidation trend in the nursing sector is increasing and Curanum can take over a substantial role in this process.

The American investor Advent International sells its majority share of Casa Reha, a nursing home operator to the European private equity investor HgCapital. In autumn 2005, Advent International has started to invest in Casa Reha. Now, this transaction only has to be approved by the antitrust authorities. Both Advent International, as well as the Casa Reha management will continue to hold a stake in the company. Casa Reha runs 47 geriatric nursing homes and belongs to the largest private institutions for in-patient nursing care in Germany.

Munich Re takes over the US-American health insurer Sterling Life Insurance. According to a press release, the Munich Re subsidiary Munich-American Holding Corp is paying approx. 245 million euros to the worlds second-largest insurance broker Aon. The takeover should take place in the first quarter of 2008 and should be finaced by Munich Res own funds. With this transaction, the Munich-based re-insurer who is also listed on the German stock exchange, expects to enter the fast-growing nursing sector in the United States more easily.

According to press releases, Unicare, the Irish pharmacy chain of the Stuttgart-based pharmaceutical company Celesio, has taken over eleven pharmacies of its competitor McSweeney übernommen. Unicare extends its network to 72 subsidiaries and extends its position as market leader. McSweeney belongs to the Dutch Spanhoff group and is left with only 20 pharmacies in Ireland. The Celesio subsidiary has presumably paid 30 million euros for the eleven pharmacies which equals a value of 2.7 million per pharmacy.

The Munich based fund initiator ILG is now also focusing on the nursing home market. The overall investment for fund number 32 which is about to launch in the first quarter of 2008, sums up to approximately 10 million euros. The fund invests in a nursing home in Upper Bavaria. The tenant is an experienced private nursing home operator. The tenancy agreement has been concluded for 20 years. The profit distribution will start with a minimum of 6% and will take place on a monthly basis.

The Füssen-based nursing home operator Phönix is continuing to strengthen its position in Southern Germany. Currently, Phönix plans constructions for a new nursing home for 125 in-patient in Heidenheim which will be operated by the Geritas GmbH. 101 single and 12 double rooms are planned. Only a few weeks ago the French nursing home chain Korian gained a majority of the Phönix-Group. The overall number of beds should increase from 3,000 to 8,500 within the next five years, wheras nursing homes providing 1,200 beds are already under construction.

The Federal Statistical Office recently revealed that every ninth employee in Germany is working in the health sector. This equals a rise of 0.8 percent compared to the previous year; therefore, 4.3 million people were employed in the health sector by the end of last year. The 34,000 new jobs included 22,000 additional vacancies for doctors and nurses. Professions in the elderly nurse care have risen by 11,000. And even hospital staff has grown by 1,000 jobs after a decline last year.

The Munich-based nursing home operator CURANUM AG takes over the ELISA Seniorenstift GmbH and its six nursing institutions from the Munich-based Doblinger Unternehmensgruppe on January 1st 2008. These six nursing institutions contain 435 places in nursing homes and 755 places in assisted living homes and generate a turnover of 34.2 million euros per year. The overall purchase price is 20.6 million euros. Due to the ideal location of these six nursing institutions, it will be easy to integrate them into the present CURANUM AG cluster system and will therefore produce synergy effects by bundling secondary services.

According to DocMorris chairman Ralf Däinghaus, the target mark of 100 franchise partners will be reached this year. The internet pharmacy which belongs to the Celecio-Group has received applications of more than 1,000 pharmacies. DocMorris expects a turnover increase of at least 22 percent. The Dutch company has 65 partner pharmacies in Germany and opens up its first own pharmacy in Saxony-Anhalt. By taking over DocMorris in April 2007, Celesio displeased German pharmacists. So far, Celesio is not allowed to own a large number of DocMorris pharmacies, as Germany only allows pharmacy chains with 4 subsidiaries at most. Therefore, DocMorris works with self-employed licensees.

Fresenius gains the majority of the Städtische Krankenhäuser Krefeld (Municipal Hospitals Krefeld). The HELIOS Kliniken Group which belongs to the health service group Fresenius has improved its market position in Germany by acquiring the majority share (74.9%) of the Städtische Krankenhäuser Krefeld. These two municipal hospitals generate a turnover worth 175 million euros per year.

The dialysis specialist Fresenius Medical Care takes over the US-American Renal Solutions Inc. The presumed purchasing price is 190 million US-dollars. The British retail market co-operative "The Co-operative Group" (Co-op) has taken over 51 pharmacies of the PCT Healthcare chain. Co-op and its meanwhile 780 pharmacies are now the third biggest pharmaceutical operator in Britain after Alliance Boots and Lloyspharmacy, a Celesio subsidiary company. Co-op runs 4,500 retail markets, including travel agencies, shoe shops, household supply stores, interior decoration stores, real estate offices and many more. The group employs approx. 88,000 employees.

The Swedish real estate company Kungsleden AB has signed a cooperation treaty with Merkur Development and plans to build five nursing homes in Germany. The total investment is worth 57 million euros, including transaction costs. The nursing homes are run by the AWO, one of the largest public operators with about 700 nursing homes in Germany. The rental agreements have a duration of 25 years and will generate approx. 4 million euros. Kungsleden plans a comlete takeover in January 2009.

As far as consolidation is concerned, the German nursery market limps behind its international competition, according to Wyser-Pratte.

According to the fifth prevention report, an increasing number of people uses the preventive medical checkups offered by their health insurances. Nearly 3.5 million people have gone to these checkups in Germany in 2005, an increase of 12 percent. From 2000 until 2005, the total expenditure for prevention measures rose from 43 million to nearly 180 million euros. 1.2 million people have taken part in preventive courses.

Quality Information about nursing homes should become more transparent. A report by the "Medizinischer Dienst der Krankenkassen, MDK (medical service by the health insurances) recently revealed that many nursery homes in Germany show serious grievances. Immediately after this report has been published, politicians were anxious to introduce a Supervisory Association for nursing homes. According to the German health minister, Ms Ulla Schmidt (SPD), these reports have to be easily understandable and published as quality resports. Schmidt hopes to enhance competition and therefore improve the quality of nursing. Health and nursing insurances support this plan.

The drugstore chain dm plans to sell drugs as well. The second-largest drugstore chain in Germany will start to deliver prescription drugs to 80 subsidiaries in Northrhine-Westphalia. The overall expenditure of compulsory health insurances (CHI) for drugs will increase by 2.2 billion euros or 7.9 per cent in 2008. The overall expenditure will therefore reach approx. 28.9 billion euros without and 30.5 million euros with vaccines. The connection between additional costs and improved therapies reflects in increasing drug expenditure, as the medical progress continues to advance and also enables the population to grow older, according to the chairman of the Verband Forschender Arzneimittelhersteller, VFA (Association of Researching Drugmakers).

The Stuttgart-based pharmaceutical wholesaler GEHE issues standard store cards for the customers of its "Commitment-Apotheken" (pharmacies). Together with the Bertelsmann-subsidiary Arvato, GEHE plans to introduce the so-called DeutschlandCard all over Germany in the first quarter of next year. In order to catch up with the popular store cards by their competitors Phoenix-Partner MVDA (Payback) or Parmapharm (HappyDigits), GEHE plans to distribute the card on a nationwide basis from the scratch. The largest partners within this programme will be Edeka with its 3.500 and Deutsche Bank with its 1.300 subsidiaries.

ProPharm, a co-operation of pharmacies, now has more than 70 affiliates. ProPharm AG, located in Aitrach, has been founded two years ago and welcomed its 72nd member on July 9th 2007. According to the Nikolai Burkart, Managing Partner, Zehnacker would like to take over emergency hospitals. The US-American conglomerate General Electric (GE) wants to win market shares with its medical engineering division in Germany. So far, Siemens and its Dutch competitor Koninklijke Philips Electronics are top of the league. According to the chairman in Germany, even after the failed takeover of the medical engineering group Abbott Laboratories, GE still sticks to its strategy in the Health Care division.

The Koblenz-based software manufacturer Compugroup who also equips doctors surgeries, plans to take over its British competitor iSoft and enter the clinical software market. Compugroup which has no prior experience on the stock exchange, placed a bid worth approx. 400 million euros. German citizens have spent more on prescription drugs again last year. According to the latest guideline of the "Verband Forschender Arzneimittelhersteller"(the association of researching drug manufacturers), pharmacies made 563 million euros more than in 2005. The extra costs mainly stem from a rising consumption. Also a "restructuring in terms of more expensive drugs" has taken place. Though prices for drugs have generally fallen, doctors tend to prescribe more drugs or opt for the more expensive product. Prices are expected to rise further next year.

German medical products can be found on second place world-wide. According to a report of the branch associations BVMed and Spectaris, medical technology is a dynamic and highly innovative branch. As far as new patents and its share on the world market are concerned, Germany is on second place behind the United States. The German medical engineering firms make approximately one third of their profit with products that are no older than three years. The researching medical engineering firms invest an average nine percent of their turnover in R&D. The core branch employs a total of nearly 165,000 people in 11,000 companies in Germany. In 2006, the total turnover of all producing medical engineering firms increased by 8.1 percent to a total of 15.9 billion euros.

According to a study by the consultancy Roland Berger, an increasing number of German citizens spends money on healthcare. Adults spend an additional sum of 900 euros per year on top of their healthcare contributions. According to a study by PriceWaterhouseCoopers (PWC), the Asian pharmaceutical market is becoming stronger. Every third Asian pharmaceutical company that was questioned in this study plans to expand by taking over other companies. Nearly 20 percent also plan to buy international competitors. The Italian pharmaceutical company Rottapharm plans to take over Cologne-based Madaus group, according to the majority owner, Droege International Group AG. Madaus Pharma develops and markets natural remedies and generates a turnover of more than 250 million euros. Rottapharm also takes over all Madaus trademarks. After selling their pharmaceutical branch, Droege and Madaus family members will focus on the Servox AG, the allergic sector and real property in Spain. The entire Madaus group generated a turnover of nearly 350 million euros in 2006.

Kursana Residenzen plans to build seven new nursing homes in 2007. Kursana is a business division of the Dussmann group, one of the biggest European service providers for commercial cleaning, catering, security firms and facility management. According to a report, the Berlin-based private equity company Vatas is the new principal stockholder of the nursery home operator Curanum, located in Munich. Recently Vatas gained a ten-percent share of a company, listed on the SDAX, according to the newspaper "Euro am Sonntag" which refers to company information. "The shares were placed within the capital increase". Vatas paid approximately 22 million euros for its share. Curanum plans to invest a part of this money for further takeovers. According to the chairman Bernd Rothe, Curanum plans to take over "seven or eight institutions" until the end of the year.

The German pharmaceutical industry is facing drastic cutbacks in its field services. This was reported in the "Süddeutsche Zeitung" which refers to the consultancy Booz Allen Hamilton and their survey of 150 board members and line managers in the pharmaceutical industry. "It is expected that a third of all jobs in the pharmaceutical field industry will cut", says Booz Hamilton pharmaceutical expert, Rolf Fricker. At the moment, pharmaceutical companies employ up to 22,000 specialised temporary staff members. In order to cut costs, these numbers will most likely drop back to 14,000.

According to the magazine "Technology Review", a new wave of mergers and acquisitions is expected in the pharmaceutical industry. The mergers within the pharmaceutical- and biological engineering division per year have increased from 289 to 749 within the last ten years. Accoring to a newspaper report, the pharmaceutical company Hexal Pharma in Radebeul (Saxony) has been taken over by Jossa Arznei GmbH in Munich. This will lead to a demerger from the Swiss company Novartis / Sandoz. Novartis has only bought the company which produces treatments for cancer, inflammations and cardiovascular diseases and employs 225 people two years ago.

Since the beginning of 2006 many biological engineering- and pharmaceutical companies have listed their shares on the Swiss stock exchange. Meanwhile Zurich has become Europe's biggest marketplace for pharmaceutical research. The largest flotations for pharmaceutical shares in Europe have been conducted in Zurich during the last years. In 2004, the Roche spin-off Basilea increased its capital by 200 million Swiss Francs and in 2005 Arpida, a research company for antibiotics capitalised 100 million Swiss Francs. Bosch wants to take over a Fresenius subsidiary. Bosch-Group plans to take over Pharmatec GmbH, located in Dresden, from Fresenius ProServe GmbH. Pharmatec main field of activity is pharmaceutical plant engineering, especially the hygienic and sterile process techniques for pharmaceutical and biological engineering. Celesio AG takes over the mail-order pharmacy DocMorris. Celesio receives 90 percent of the
DocMorris shares, the remaining 10 percent remain with the management of the mail-order pharmacy. Approximately 239.4 billion euros or 10.7 percent of GDP were spent for healthcare in Germany in 2005 - this equals 2,900 euros per German citizen - whereas more than fifty percent were covered by health insurances. Especially the expenses for medications have strongly risen. Compared to 2004, the expenses have risen by 2.4 percent, according to the Federal Statistical Office in Wiesbaden. While doctors bills increased by only 0.5 percent, the expenses for medications grew by 10 percent.

Medilab GmbH should become another sales location for the trade- and logistics activities of DocCheck. The British pharmaceutical wholesaler and owner of pharmacy chains, Alliance Boots plc, has rebuked the takeover bid by the Private Equity group Kohlberrg Kravis Roberts (KKR). The takeover bid was worth approx. 9.7 billion pounds sterling. KKR has been supported by Stefano Pessina, Executive Deputy Chairman of Alliance Boots. He owns 15 percent of the shares himself.

The number of medical care centres (Medizinische Versorgungszentren) has further increased in the fourth quarter of 2006. According to a survey of the Association of CHI-physicians (Kassenärztliche Bundesvereinigung), there were already 666 medical care centres in Germany by 31. December 2006. The number has been growing by nearly 20 percent since October 2006. Most of these centres are located in Bavaria, Berlin and Lower Saxony.

The CEO of Celesio, Dr. Fritz Oesterle said that he is prepared should it become possible for firms to own pharmacies in Germany. The Bundesvereinigung Deutscher Apothekerverbände (ABDA) published that the expenses of public health insurances have risen by 1.3 percent last year up to 23.7 billion euros. for the time being. The administrative court spokesman made

pharmacist." But this foreign ownership prohibition contradicts the
European competitive law and therefore it is more than doubtful if
this reason will affect the main legal proceedings.

Hilbert, research director for Healthmarket and Life Quality at the
Institute for Work and Technics (Gelsenkirchen), the wellness sector
is one of the driving forces for growths and jobs in the health

of 73 billion euros this year.
